Perhaps the most outstanding feature of the large corporation is its great number of shareholders. A big company may be owned by a million people and many of them own fewer than 80 shares. Usually, directors and managers own less than 5 percent of the common stock (обычные акции). With shareholders living in all parts of the country, it is im- possible for them to know all details about their business. In this case, effective control is in the hands of the corporation’s board of directors (совет директоров). The board of directors is headed by the chairman or president, who is often an experienced executive (руководитель) and has a great deal of freedom in the operation of the company. The board of directors meets monthly to discuss policy related to operational decisions and to review accomplishments (достижения). At annual meetings the major policy decisions are made. Every corporation must send a written notice of the annual 62 meeting (ежегодное совещание) to each stockholder.
